    What are you all focusing on? I'm conflicted on what I should do once I feel right about grad school, continue and go for Latin American and Cultural Studies and find a job that deals with immigration, or make the leap and become an immigration lawyer. Decisions, decisions.

    International law. It's becoming quickly apparent that right out of school I will likely have to settle for something that has nothing to do with international law and lateral into a job in it after I work for a few years.

    An 8 hour Process exam is a bit much. My first exam is next Tuesday. It is property. I've actually been done outlining and have been studying on the weekends for a few weeks now. While others are panicking, my study group is basically prepared. All except for Torts that is. I understand it and could do well if I had a normal professor, but he wants definitions verbatim straight from the Restatements.

    Already turned in my Final Memo for legal writing a week ago. 16 pages citing 35 cases. It was a bitch to get 35 cases not to mention a huge string cite with about 8 more cases into 16 pages and still have room for proper application.

    So its:
    Property Tuesday 3 hours
    Contracts Thursday 1 hour
    Torts Saturday 3 hours
    Crim Monday 2.5 hours Open Book
    Legal Process Wednesday 3 hours open book.

    I don't understand it, and I keep thinking I should be freaking out, but it seems I am under control of this beast. Of course, I'm freaking out over that thinking my outlines don't have enough shit in them.

    If you REALLY want to get into the entertainment biz...do everything you can to get into USC (southern cal) Peter Stark Producing Program.

    The Stark Program beats the hell out of any law school in the country in terms of getting into the entertainment biz. It's as close to a sure-fire thing as you can get.

    please tell me someone here understands ucc 2-201(2)

    am i supposed to assume it only means between merchants for sales over $500 or just in general between merchants.....so confused....must be over $500 right?

    so what about over $500 between anyone??

    I can break it down for you. Some how my midterm only had offer and acceptance on it. nothing on ucc 2-207 or the statute of frauds. Just means the final is going to be ridiculous.

    Anyways:

    2-201 is is for a contract for the sale of goods between anyone and it must therefore be in writing. It is $500 or more. So if it is $500 on the dot, it must be in writing. There are exceptions (of course there are, this is the law).

    Receipt and sale of goods:
    If the buyer receives and accepts all or part of the goods the contract is enforceable. (Goods accepted must be in the contract)

    Partial payment.

    Special Manufacture: If the contract calls for the manufacture of special goods for the buyer not sutiable for the sale to others in the ordinary course of the seller's business, and the seller makes either a "substantial beginning" in the manufacture of the goods or commitments for their procurement.

    No obligation confirmation: If the contract is between merchants; within a reasonable time a written confirmation, which satisfies the SOF as to the sender, is sent; and the party receiving the confirmation does not dispatch a written objection to it within 10 days.

    Admission: If the contract is admitted by the party against whom enforcement is sought, in his pleadings or testimony in court.

    Also when there is an original agreement that is below the SOF limit and not governed by the SOF, and it is modified to increase the monetary amount, it becomes governed by the SOF. Same goes if the original agreement was above the $500 and a modification of the contract brings it below, it will not be governed by the SOF.

    This is from my outline not off the top of my head. Hope it helps.

    This is 2-201(2) which basically sets forth ways that contracts will not be governed by the SOF. I think to apply this part, the contract for the sale of goods can be oral because it generally is a usual practice of business between merchants to send things like invoices confirming the sale.

    For instance. A and B are both merchants. A calls B and orders 500 computers to be shipped to his place of business in a month from today. Lets just say the contract is valid. Right now it is an oral contract, but B would send the invoice to A containing what he ordered, and the price as the confirmation. If A does not object to anything that is in that invoice within 10 days, it is considered to satisfy the writing requirement under the SOF. However, if A was not a merchant, the invoice sent to B would not satisfy the writing requirement because the contract was originally one that was oral.

    No problem. I'm kind of mad that none of this was on my midterm though, because I studied for it. I mean I'm glad that it wasn't but think I could have had an edge on some people had it been on there.

    Just keep in mind how these things work. I used a Gilbert commercial outline that has examples, and thought through them. That made it click.
